Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Enterprise Customer," "you," or "your") and Yanki Automations Pvt Ltd ("Yanki Automations," "we," "us," or "our") regarding your use of our industrial AI automation platform and related services.

1. Service Description

Yanki Automations provides an industrial-grade AI automation platform that enables enterprises to streamline operations, reduce costs, and scale with 25+ automation-first AI products. Our services include:

  • Enterprise operations automation (HR, Finance, Procurement, Compliance, IT)
  • Industrial IoT and plant AI solutions
  • Customer and sales automation systems
  • Data and insights AI platforms
  • Sector-specific AI solutions for various industries
  • Professional services, training, and technical support

2. Enterprise Account & Access

2.1 Account Registration

  • Enterprise customers must provide accurate business information during registration
  • You are responsible for maintaining the security of all account credentials
  • You must notify us immediately of any unauthorized access to your systems
  • Each enterprise may maintain multiple user accounts under a single master agreement

2.2 Authorized Users

  • You may designate authorized users within your organization
  • You are responsible for all activities conducted by your authorized users
  • Users must have appropriate authority to bind your organization to this agreement
  • You must promptly remove access for users who are no longer authorized

3. Acceptable Use Policy

3.1 Permitted Uses

You may use our services for legitimate business automation purposes within your enterprise operations, subject to these Terms and applicable laws.

3.2 Prohibited Uses

You agree not to use our services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Generate harmful, illegal, or malicious content or automation workflows
  • Attempt to reverse engineer, decompile, or hack our systems or AI models
  • Interfere with or disrupt our services, servers, or other customers' operations
  • Use our services for competitive intelligence against Yanki Automations
  • Transmit viruses, malware, or other harmful code through our platform
  • Engage in fraudulent or deceptive business practices
  • Violate the privacy, intellectual property, or other rights of third parties

4. Data Rights & Responsibilities

4.1 Your Enterprise Data

  • You retain full ownership of all enterprise data processed through our platform
  • You grant us necessary rights to process your data to provide automation services
  • You represent that you have all necessary rights to the data you provide
  • You must comply with all applicable data protection and privacy laws

4.2 Data Processing & Security

  • We process your data in accordance with our Privacy Policy and applicable laws
  • We implement industry-standard security measures to protect your enterprise data
  • We may use aggregated, anonymized data for service improvement purposes
  • You may configure data retention, processing locations, and deletion policies

5. Intellectual Property Rights

5.1 Yanki Automations IP

  • We retain all rights to our platform, AI models, and proprietary technology
  • You receive a limited, non-exclusive license to use our services during the term
  • You may not copy, modify, or create derivative works of our platform
  • Our AI models and automation algorithms remain our confidential information

5.2 Customer IP

  • You retain ownership of your intellectual property, data, and business processes
  • We do not claim ownership of automation workflows you create using our platform
  • You are responsible for any IP infringement claims related to your data or processes

6. Enterprise Pricing & Payment

6.1 Fees & Billing

  • Fees are based on your selected plan, usage levels, and any custom services
  • Enterprise fees are typically billed annually in advance
  • All fees are non-refundable unless otherwise specified in your agreement
  • We may adjust pricing with 90 days' notice for enterprise customers

6.2 Payment Terms

  • Payment terms are typically net 30 days from invoice date
  • Late payments may incur interest charges and service suspension
  • You are responsible for all applicable taxes and duties

7. Service Levels & Support

7.1 Service Availability

  • We target 99.9% uptime for our automation platform
  • Scheduled maintenance will be announced with reasonable advance notice
  • Enterprise customers receive priority support during business hours
  • Service level agreements (SLAs) may be available for Enterprise Deployment plans

7.2 Platform Changes

  • We may modify, update, or discontinue features with reasonable notice
  • We will provide migration assistance for discontinued automation features
  • Major changes affecting enterprise workflows will include transition support

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • OUR LIABILITY IS LIMITED TO THE FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • WE DO NOT WARRANT THAT AUTOMATION RESULTS WILL MEET SPECIFIC BUSINESS OUTCOMES
  • YOU ACKNOWLEDGE THAT AI AUTOMATION INVOLVES INHERENT RISKS AND UNCERTAINTIES

9. Indemnification

You agree to indemnify and hold Yanki Automations harmless from any claims, damages, or expenses arising from:

  • Your use of our automation services in your business operations
  • Your violation of these Terms or applicable laws
  • Infringement of third-party rights by your data, processes, or automation workflows
  • Any harm caused by automated decisions or actions taken by our AI systems on your behalf

10. Term & Termination

10.1 Termination by Customer

  • You may terminate your agreement with appropriate notice as specified in your contract
  • Termination does not relieve you of payment obligations for services already provided
  • We will provide data export capabilities and transition assistance upon request

10.2 Termination by Yanki Automations

  • We may terminate for material breach of these Terms with appropriate cure period
  • We may terminate enterprise agreements with 90 days' notice for convenience
  • We may suspend services immediately for security reasons or legal compliance

11. Governing Law & Disputes

  • These Terms are governed by the laws of India
  • Disputes will be resolved through binding arbitration in accordance with Indian Arbitration Act
  • The seat of arbitration shall be Mumbai, India
  • Each party waives the right to participate in class action lawsuits

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, Security documentation, and any applicable enterprise agreements or order forms, constitute the entire agreement between you and Yanki Automations.

12.2 Modifications

We may modify these Terms with 60 days' notice to enterprise customers. Continued use constitutes acceptance of modified Terms.

12.3 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

12.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
